I'm looking for a cheap cpu module with dual serial port and an ethernet
port.

The cpu module must have some sort of flash and ram.
I'm going to build a customize serial to ethernet converter.

The price should be below $50

Check out Rabbit Semiconductor Modules (Digi Key), in quantity they may be
close to your target price.

I don't think you will find anything 'off the shelf', at this sort of
price break, with the features you want. However you could go DIY, with
something like a PIC (one of the newer versions with two serial ports),
and a Realtek 8019 ethernet chip. Add a couple of RS232 transceivers, and
all the required features are present.

Very unlikely.

A Rabbit 2200 module may come close in price, but by the time you add an
enclosure and supporting power and RS-232 level shifters, etc. you'll be
over your budget.

Check out http://www.picoweb.net for a cheap 1-port model. You can
build your own or license his source cheaply. If it's worth your effort
you can modify the design to add a second port.

Check out Atmel demo kit on digikeys website. they have a module called
wiznet . already does what you want ( comes with software ) sits around 30
$. ready assembled. all you need to add is ethernet connector. It supports
HTTP , SNMP and Telnet.

The Linksys WRT54G might meet your needs. It has Ethernet,
a four port hub, 802.11G, two serial ports (but no connectors),
and something like 16/32 MB of Flash/RAM. They are easy to
hack and there's lots documentation available. I see them on
sale for $50 every once in awhile.
